webENT Guide hereby grants you a non-exclusive, non-transferable, limited right to access, use and display the webENT Guide Website and Services and the materials thereon for your personal use only, provided that you fully comply with this Agreement. You shall not interfere or attempt to interfere with the operation of the webENT Guide Website or Services in any way through any means or device including, but not limited to, spamming, hacking, uploading computer viruses or time bombs, or any other means expressly prohibited by any provision of these Terms of Use.

Many leading companies have asked webENT Guide to provide their consumers with television related Internet services (“Colleagues”). webENT Guide’s Colleagues’ websites may have links to the webENT Guide Website and you may have entered the webENT Guide Website through one of webENT Guide’s Colleague’s sites. Please be aware that these Terms of Use apply only to the Services that webENT Guide is rendering to you and these Terms of Use do not apply to any other element of webENT Guide’s Colleagues’ sites.

webENT Guide may allow webENT Guide Website users to submit videos and/or other materials or content (including without limitation, text, files, links, software, photographs, video, sound, music, etc.) as commentary in connection with the community forum or in response to webENT Guide’s request for feedback on certain services, products or content, or otherwise, for publication on the webENT Guide Website (collectively, “User Submissions”). webENT Guide asks that all User Submissions directed to webENT Guide be tailored to webENT Guide’s specific request since webENT Guide’s company policy does not allow it to accept or consider general creative ideas, suggestions or materials which are not specifically requested by webENT Guide (“Unsolicited Submissions”).

You are solely responsible for the content of your User Submissions and with respect to each User Submission, you automatically grant (or warrant that the owner of such rights has expressly granted) webENT Guide and each webENT Guide Website user a worldwide, royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display, in whole or in part, the User Submission. Further, with respect to each User Submission you submit or post, you represent and warrant that: (i) you own or have all of the necessary rights and permissions to use, and grant webENT Guide and the webENT Guide Website users the right to use, any and all elements of the User Submission (including, but not limited to, patent, trademark, trade secret, copyright and other proprietary rights) in any manner as set forth herein; (ii) you have a written release and/or permission from each person depicted or heard in your User Submission for the use of his or her name or likeness and/or voice in any manner as set forth herein; and (iii) you will pay for any and all royalties and fees owning any person by reason of your User Submission and any exploitation thereof as set forth herein.You understand that any uploading and/or posting of any User Submission on the webENT Guide Website shall not be subject to any obligation of confidence on the part of webENT Guide, and webENT Guide shall not be liable for any use or disclosure of any User Submission. Without limiting the foregoing, all User Submissions (including any Unsolicited Submissions, despite webENT Guide’s request that you not send any to webENT Guide) shall be deemed, and shall remain, the property of webENT Guide; webENT Guide shall be entitled to unrestricted use and exploitation of same (commercial or otherwise) without notification or compensation to you or any providers, authors or owners thereof.

If you are posting user submissions on one of webENT Guide’s Colleague’s site please be aware that such postings will be governed by any terms of use or other policies posted on the Colleague’s site.

You further represent and warrant that no User Submission you submit or post on the webENT Guide Website (including in any community forums) will be Prohibited. A “Prohibited” User Submission includes, but is not limited to a User Submission that:

is offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;

harasses or advocates harassment of another person;

involves the transmission of “junk mail,” “chain letters,” or unsolicited mass mailing or “spamming”;

promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;

promotes an illegal or unauthorized copy of another person’s copyrighted work;

provides instructional information about illegal activities such as making or buying illegal weapons;

violating someone’s privacy, or providing or creating computer viruses;

solicits passwords or personal identifying information for commercial or unlawful purposes from other users; or

involves commercial activities and/or sales without webENT Guide’s prior written consent, such as contests, sweepstakes, or advertising.

Embeddable Player.

The webENT Guide Website includes an “Embeddable Player” feature, which you may incorporate into your own personal, non-commercial websites for use in accessing the materials on the webENT Guide Website, provided that you include a prominent link back to the webENT Guide Website on the pages containing the Embeddable Player.

webENT Guide does not necessarily endorse, support, sanction, encourage, verify, or agree with the comments, opinions, or statements posted by users of the webENT Guide Website. Nor does webENT Guide or any of its third party service providers or Colleagues make any warranties with respect to any comments, opinions or statements posted by users of the webENT Guide Website. Any information or material posted on the webENT Guide Website by users, including advice and opinions, are the views and responsibility of those individual users who post the statements and do not necessarily represent the views of webENT Guide or any of its third party service providers or Colleagues.

You may not distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owners of such proprietary rights. webENT Guide will remove User Submissions and/or other content published on the webENT Guide Website if properly notified in accordance with the terms of webENT Guide’s Copyright Policy and webENT Guide determines that it infringes on a third party’s intellectual property rights. webENT Guide reserves the right to decide whether a User Submission is appropriate for publication on webENT Guide Website and complies with these Terms of Use. webENT Guide also reserves the right to remove content and User Submissions from the webENT Guide Website at any time without prior notice for any reason. In order for the webENT Guide Website to be enjoyable for all users, you agree that you will not use the webENT Guide Website or the Services for any inappropriate, improper or illegal purpose. Such references do not imply that webENT Guide intends to market or offer such products or services in your country.

Jurisdiction.

webENT Guide makes no representation that the content on the webENT Guide Website is appropriate, available or legal in any particular location. Those who choose to access the webENT Guide Website do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. You agree that this Agreement, for all purposes, shall be governed and construed in accordance with the laws of the State of California applicable to contracts to be wholly performed therein, and any action based on or alleging a breach of this Agreement must be brought in a state or federal court in Los Angeles, California. In addition, both parties agree to submit to the exclusive personal jurisdiction and venue of such courts.

You agree to indemnify and hold webENT Guide and its officers, agents, and other partners, employees and service providers, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the webENT Guide Website and/or the Services, including, but not limited to, content incorporated in a User Submission and/or message you, or any authorized user of your account, post, or the Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth in this Agreement.

webENT Guide reserves the right, in its sole discretion, with or without prior notice and without liability, to reject, refuse to post or to remove any User Submission by you or to restrict, suspend or discontinue any aspect of the Services and/or to suspend or terminate your access to all or any part of the webENT Guide Website or any Services available on the webENT Guide Website at any time, for any or no reason.

Other
